Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of the Clopinette AI assistant service ("Service") operated by MB aiteklabs ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not use the Service.

2. Service Description

Clopinette is a personal AI assistant with persistent memory, web access, image generation, and multi-platform support (web, Telegram, Discord, WhatsApp). The Service is provided on a subscription basis with different plan tiers.

3. Eligibility

You must be at least 16 years old (or the minimum age in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement.

4. Account

  • You must provide accurate information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activity under your account
  • You must notify us immediately if you suspect unauthorized access

5. Subscriptions and Billing

Plans

The Service offers Trial, Pro, and BYOK (Bring Your Own Key) plans. Plan features and pricing are described on the pricing page.

Payment

  • Paid subscriptions are billed monthly in advance via Stripe
  • Prices are displayed in EUR and include applicable taxes where required
  • You authorize recurring charges for your subscription period

Cancellation and Refunds

  • You may cancel your subscription at any time from the billing settings
  • Cancellation takes effect at the end of the current billing period
  • Trial accounts expire automatically after 14 days

No refunds. As a digital service with immediate access upon payment, you acknowledge that the service is fully available from the moment of purchase. In accordance with EU Directive 2011/83/EU (Consumer Rights Directive), you expressly consent to the immediate performance of the service and acknowledge that you lose your right of withdrawal once the digital content is accessed. All sales are final — no refunds or credits will be issued for partial billing periods, unused time, or dissatisfaction with AI-generated outputs.

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or to violate any laws
  • Generate content that is harmful, abusive, hateful, or harassing
  • Attempt to extract, reverse-engineer, or circumvent the AI model's safety measures
  • Use the Service to generate spam, phishing content, or malware
  • Share your account or API keys with unauthorized parties
  • Overload the Service through automated abuse or denial-of-service attacks
  • Scrape, crawl, or otherwise extract data from the Service in bulk
  • Impersonate another person or entity
  • Use the Service to produce content that infringes third-party intellectual property

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

7. BYOK (Bring Your Own Key)

If you use the BYOK plan, you provide your own API key for a supported AI provider. In this case:

  • You are responsible for the costs incurred with your AI provider
  • Your data is sent directly to your chosen provider under their terms
  • We are not responsible for the availability, pricing, or policies of third-party providers

8. AI-Generated Content

  • Responses generated by Clopinette are produced by AI language models and may contain errors, inaccuracies, or hallucinations
  • AI-generated content should not be relied upon as professional, legal, medical, or financial advice
  • You are responsible for verifying the accuracy of any information before acting on it
  • We do not guarantee the completeness, reliability, or suitability of AI outputs

9. Intellectual Property

  • The Clopinette service, its code, design, and branding are owned by MB aiteklabs
  • You retain ownership of content you input into the Service
  • AI-generated outputs are provided for your use — we claim no ownership over them
  • We do not use your conversations to train AI models

10. Linked Messaging Platforms

When you link Clopinette to Telegram, Discord, or WhatsApp:

  • You also agree to that platform's terms of service
  • Messages transit through the platform's infrastructure before reaching us
  • In group/shared mode, other group members can interact with your bot but do not have access to your personal memory
  • You can unlink platforms at any time from the dashboard

11. Availability and Modifications

  • We strive for high availability but do not guarantee uninterrupted service
  • We may modify, suspend, or discontinue features with reasonable notice
  • Scheduled maintenance will be announced in advance when possible
  • We are not liable for downtime caused by third-party providers (Cloudflare, AI providers, messaging platforms)

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • We are not liable for any loss resulting from reliance on AI-generated content

Nothing in these Terms excludes liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable law (including EU consumer protection law).

13. Indemnification

You agree to indemnify and hold harmless MB aiteklabs from claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

14. Termination

  • You may delete your account at any time, which will erase your conversation data and memory
  • We may terminate or suspend your access for violation of these Terms
  • Upon termination, your right to use the Service ceases immediately
  • Sections on liability, indemnification, and governing law survive termination

15. Governing Law and Disputes

These Terms are governed by the laws of the European Union and the member state where MB aiteklabs is registered.

  • EU consumers may resolve disputes through the EU Online Dispute Resolution platform
  • Any disputes not resolved amicably shall be submitted to the competent courts of our registered jurisdiction
  • Nothing in these Terms affects your statutory rights as a consumer under EU law

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or email at least 30 days before taking effect. Continued use after the effective date constitutes acceptance. If you disagree, you may cancel your subscription and delete your account.
